Welcome to Halcolighting.com (the “Site”). The following are the Terms and Conditions (the “Terms”) which govern the use of the Site as well as any goods or services (collectively, the “Goods”) which may be offered by Halco Lighting Technologies, LLC (“HALCO,” “we” or “us”). By using the Site or by purchasing Goods from HALCO, you are accepting and agreeing to these Terms. HALCO reserves the right to modify the Terms from time to time.

In order to obtain an account to purchase Goods or to place an Order through the Site, you must agree to set up an account through the Site and provide HALCO with truthful and complete information during the registration process. If any untrue or incomplete information is given, HALCO reserves the right to terminate your account at any time. While HALCO will respect your privacy as to the information you give, we need complete and truthful information to tailor our site to your needs.

When you sign up for an account, you will select a user name and password so that you can access your account with us in the future. You agree that you will keep this information confidential. You are completely responsible for activities regarding your account and password. You agree to log off of the Site at the end of each session to prevent fraud on your account by third parties. If you think there has been unauthorized use of your account, you agree to notify HALCO immediately and cooperate with us to resolve any problems. You understand that if you do not follow the terms of this paragraph, we may suspend or terminate your use of the Site. You understand that we are not responsible in any way, and will not be liable to you or to any third person, if you do not comply with the terms of this paragraph.

All material on the Site may not be reproduced, copied, distributed, or transmitted in any form without the express permission of HALCO. Any unauthorized use of any material on the Site is strictly prohibited and may violate copyright, trademark, privacy, and/or other laws and statutes.

As a condition of your use of the Site, you warrant to HALCO that you will not use our site for any purpose that is unlawful or prohibited by these Terms. To use the Site, you must agree to abide by all applicable federal, state and local laws and regulations and are solely responsible for all acts or omissions that occur under your account, including the content of your transmissions through the Site.

In the event that you do not comply with the Terms, HALCO reserves the right to refuse you access or permission to access the Site.

In order to assure high quality service on the Site, you must consent to HALCO employees being able to access your account and records. Except as otherwise permitted in the Privacy Policy, HALCO will not disclose such an investigation unless required to do by law.

The information on the Site may contain typographical errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice (including after you have submitted you order). Please note that such errors, inaccuracies, or omissions may relate to product description, pricing, and availability.

While HALCO’s goal is to please all of its customers, all materials on the Site are provided “AS IS” without warranties of any kind, express or implied. HALCO disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, non-infringement, or other violation of rights. HALCO does not warrant or make any claims regarding the use, accuracy, or reliability of the results of the use of the materials on the Site or any sites linked to it.

In no event shall HALCO be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, goodwill, data or profits, arising out of or in any way connected with the use of the Site. This includes delays or inability to use the Site or for any information obtained through the Site, whether based on contract, tort, negligence, strict liability or otherwise.

All trademarks, service marks, and logos used and displayed on the Site are registered or unregistered trademarks of HALCO and/or others. Nothing on the Site gives permission to use any trademarks displayed on the Site without the express written permission of HALCO or the trademark owner.

The links included on the Site are not under the control of HALCO, and HALCO is not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. The inclusion of a link in no way is an endorsement by HALCO.

These Terms will be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.
